Terms of Service

These terms govern your use of Account Trail. By creating an account you agree to them.

1. Who you are contracting with

Account Trail is operated by Code Nation LLC ("we", "us"). These terms are the agreement between you and us for use of the service.

Purchases are handled separately. Paddle.com Market Ltd is our merchant of record and is the seller for every paid subscription - see section 4.

2. What the service does

Account Trail is a multi-currency accounting application for freelancers and small businesses. It lets you issue invoices to your customers, record supplier bills and expenses, track inventory items, convert between currencies at transaction-date rates, and produce reports from what you have recorded.

You may operate one business on the Free plan and any number on Pro. Other Pro features are described on the pricing page.

3. The service is not accounting or tax advice

This is the most important limitation in these terms, so it comes before the commercial ones. Account Trail is bookkeeping software. It is not an accountant, an auditor or a tax adviser, and nothing it produces is professional advice.

  • Tax rates, tax labels and fiscal-year settings are values you configure. We do not verify that they are correct for your jurisdiction, and we do not file anything on your behalf.
  • Exchange rates come from a third-party public data source and are provided for convenience. They may differ from the rate your bank actually applies.
  • Reports are arithmetic over the data you entered. Their accuracy depends entirely on that data being complete and correct.

You remain responsible for the accuracy of your books and for meeting your own filing, reporting and record-keeping obligations. Have a qualified professional review anything that carries legal or tax consequence.

4. Plans, payment and billing

The Free plan is available at no cost. Pro is a paid subscription billed monthly or annually in advance at the price shown on the pricing page at the time you subscribe.

Paddle.com Market Ltd is the merchant of record for all purchases. It sells the subscription in its own name, charges your payment method, collects and remits any applicable sales tax or VAT, and issues your invoice. Your purchase is therefore also subject to the merchant of record's buyer terms.

  • Renewals are automatic at the end of each billing period until you cancel.
  • Upgrades take effect immediately and are charged pro rata for the remainder of the current period.
  • Downgrades and cancellations take effect at the end of the period you have already paid for. You keep Pro until then. We do not shorten a period you have paid for.
  • If a renewal payment fails, we may suspend Pro features until payment succeeds. Your data is not deleted because of a failed payment.

We may change our prices. A change never alters the price of a subscription already running - existing subscribers keep the price they signed up at until they change plan themselves.

5. Your account

You must provide accurate registration details and keep your credentials secure. You are responsible for activity under your account. Tell us promptly at [email protected] if you believe it has been accessed without your authorisation.

You must be old enough to enter a binding contract in your jurisdiction, and you may not use the service if we have previously terminated your account.

6. Your data, and your customers' data

You own the data you put into Account Trail. We claim no rights over your invoices, bills, expenses, customer records or uploaded files. We use them to operate the service for you and for nothing else - we do not sell them and we do not use them to train models.

Much of what you enter is personal data belonging to third parties - your customers and suppliers. For that data you are the controller and we are your processor. You are responsible for having a lawful basis to enter it and for the accuracy of what you send from the service, including the invoices we deliver on your behalf. Our handling is described in the Privacy Policy.

Invoices you share by public link are reachable by anyone holding that link. The link contains a secret token and is not indexed, but treat it as you would any unlisted URL.

7. Acceptable use

You agree not to:

  • use the service to issue fraudulent invoices or to misrepresent a transaction;
  • upload malware, or content that is unlawful, or that you have no right to distribute;
  • send bulk unsolicited mail through the invoicing or reminder features;
  • attempt to access another account's data, probe or circumvent our security controls, or disrupt the service for others;
  • resell, sublicense or white-label the service without our written agreement.

We may suspend an account that we reasonably believe is doing any of these, and will tell you why unless we are legally prevented from doing so.

8. Availability and changes

We work to keep the service available but do not guarantee uninterrupted access. Planned maintenance, third-party outages and faults will happen. The service is provided on an "as is" basis to the extent the law allows.

We may add, change or remove features. Where a change materially reduces what a paid plan provides, we will give reasonable notice and you may cancel under the refund policy.

9. Ending the agreement

You may stop using the service and cancel a subscription at any time. You may request deletion of your account and its data by writing to [email protected].

Deletion is permanent and irreversible. It removes your businesses, invoices, bills, expenses, items and uploaded files. Export anything you need to keep first - including records you are legally required to retain, which remains your obligation, not ours.

We may terminate or suspend an account for a material breach of these terms, for non-payment, or where we are required to by law.

10. Liability

Nothing here excludes liability that cannot lawfully be excluded - including for death or personal injury caused by negligence, or for fraud.

Subject to that, we are not liable for indirect or consequential loss, for lost profits or revenue, for loss of goodwill, or for any tax, penalty or interest assessed against you. Our total liability arising from the service in any twelve-month period is limited to the amount you paid us for it in that period.

Keep your own backups. We take reasonable measures to protect your data, but you should export your records periodically.

11. Changes to these terms

We may update these terms. The "last updated" date at the top of this page always reflects the current version, and we will give notice of material changes by email or in the application before they take effect. Continuing to use the service after that means you accept the revised terms.

12. Governing law

These terms are governed by the laws of Florida, USA, and its courts have exclusive jurisdiction over any dispute. If you are a consumer, this does not deprive you of the protection of mandatory rules in your country of residence.
